1. General

1.1. The website of Elison Optic Ltd (hereinafter: the "Website") serves as a global online store for the purchase of optical products by users via the Internet.

1.2. The Website is owned and operated by Elison Optic Ltd, Company No. 516664745, located at 264 Dizengoff Street, Tel Aviv, Israel (hereinafter: the "Company").

1.3. These Terms and Conditions apply to all use of the Website by any user and/or any action taken through the Website (hereinafter: the "Customer"), including any order placed via the Website. Therefore, customers are requested to read these Terms in full and carefully, and to agree to all their provisions.

1.4. Any activity on the Website, including the purchase of products offered for sale, constitutes the Customer’s agreement to be bound by these Terms and Conditions and to act in accordance with them.

1.5. These Terms are written in masculine form for convenience only but apply equally to all genders.

1.6. These Terms are written in singular form for convenience only but apply equally to plural as well.

1.7. The Customer confirms that they have read and agreed to these Terms, and that neither they nor anyone on their behalf shall have any claim and/or demand against the Company and/or anyone acting on its behalf, except for claims related to a breach of these Terms by the Company and/or its representatives. For the avoidance of doubt, performing any action on the Website constitutes the Customer's full, final, and irrevocable declaration that they have read, understood, and agreed to these Terms.

1.8. The Company reserves the right to deny access to the Website and/or the ability to perform actions on it to any user who violates these Terms and/or misuses the Website or any of its content.

1.9. The Company reserves the right to update and modify the Website and its services, including their scope and availability, without prior notice. The Customer shall have no claim and/or demand against the Website and/or the Company in respect of such changes and/or any malfunctions that may occur during their implementation.

1.10. For the avoidance of doubt, the use of the Website may vary between different platforms, such as mobile phones and tablets versus desktop or laptop computers. 2. Use of the Website

2.1. Use of the Website is intended for private and personal purposes only. It is hereby clarified that the sale of products on the Website is for private and personal use only and is not intended for wholesale distribution (whether through a single transaction or multiple transactions over time) and/or for resale (i.e., purchasing products from the Website for the purpose of selling them to other customers).

2.2. It is prohibited to copy, publicly display, or use any of the content published on the Website for any purpose other than personal and private use, whether commercial or otherwise. This includes copying, publicly displaying, or using any content from the Website on other websites, in any type of electronic publication, software, applications, computer programs, telephony or mobile communications, radio, television, print, or any other media platform.

2.3. It is forbidden to operate or allow the operation of any computer application or other means that enable the copying—whether full or partial—of information or content from the Website. This includes the creation or use of such means for the purpose of compiling a collection, compilation, or database that contains content from the Website. Notwithstanding the generality of the above, this restriction does not apply to general-purpose search engines that link directly to the Website.

2.4. It is prohibited to display content from the Website in any manner—including through the use of any software, device, accessory, or communication protocol—that alters its design or functionality, or omits any features or information such as (but not limited to) advertisements, navigation bars, images, and more.

3. Orders on the Website

3.1. All prices, products, promotions, discounts, and coupons appearing on the Website are valid for orders placed through the Website only. The Customer shall have no claim regarding any discrepancy or inconsistency between the prices, products, or availability on the Website and those offered at Elison Optic retail stores or in any other Elison Optic publications. For the avoidance of doubt, the Customer may not raise any claim of any kind against any Elison Optic store with respect to the Website. Any matters related to the Website should be addressed directly to the Company using the contact information provided in Section 1.12 above.

3.2. Some of the promotions on the Website are intended for members of the Elison Optic customer club only. The Elison Optic Club Terms and Conditions are provided separately.

3.3. The Website features a wide range of products that are generally available in stock. The Company makes every effort to maintain up-to-date inventory.

3.4. Elison Optic Ltd reserves the right to limit the available delivery options for products. Some products may be available for pickup and/or delivery only, and delivery times will follow the Company’s shipping and delivery policy.

3.4.1. Elison Optic Ltd reserves the right to limit the quantity of products (whether identical or of the same type) that each Customer may purchase in any single order. For clarity, this limitation also applies to products sold as part of Website promotions or special offers. Furthermore, Elison Optic Ltd reserves the right to limit, restrict, or cancel orders that appear to constitute a pattern of purchases not intended for personal or private use. The Company also reserves the right to cancel any order for which a credit card provider has flagged an alert regarding the payment method used.

3.4.2. Without limiting Elison Optic Ltd’s discretion, it is hereby clarified that multiple orders placed by the same Customer and/or delivered to the same shipping address in high frequency, or systematically and/or in close succession (e.g., same day or consecutive days), containing quantities of products that either (a) significantly exceed the permitted amount in total, or (b) hit the maximum quantity allowed per order, may be considered a series of non-personal or non-private purchases. Additionally, this is without prejudice to the Company’s right to block users who violate these terms. Elison Optic Ltd reserves the right to modify its product quantity limitations at its sole discretion. In certain cases, and to complete an order, the Company may contact the Customer via phone or SMS to confirm or request additional necessary details.

3.5. In the event of a printing error, mistake in product/service description, payment terms, product/service image, or any other printed material, the Company reserves the right to cancel the specific order before the product is delivered to the Customer.

3.6. When registering on the Website and/or placing an order as a guest, the Customer agrees to provide accurate, complete, and up-to-date information.

3.7. Payment on the Website shall be made by credit card only. Accepted credit cards are: American Express, Isracard, Visa, and Diners. Purchases cannot be made using checks, gift certificates, gift vouchers, prepaid cards, or coupons, except for store credits that can be redeemed on the Website.

3.8. Upon placing an order, the Company will verify the provided credit card details. Once the order is approved by the credit card provider, a confirmation message will be sent indicating the order has been approved or declined. Only after receiving such confirmation will the order be registered in the Company’s system, and an email confirmation will be sent to the Customer. The only valid confirmation of a successful order is the email received by the Customer that includes relevant order details such as the order number, Customer information, and order content. If such confirmation is not received, the order will not be considered valid or accepted.

3.9. The Company’s computerized records regarding actions performed on the Website shall serve as prima facie evidence of the accuracy of such actions.

3.10. If the order is not approved by the credit card provider, a relevant notice will be sent to the Customer, and the order will be considered canceled. Elison Optic Ltd shall not be liable for the cancellation, and the Customer shall have no claim or demand against the Company in this regard.

4. Consent to Receive Promotional Content

4.1. If the Customer has consented (or will consent) to receive marketing materials, updates, and advertisements as defined in Section 30A of the Israeli Communications Law (Bezeq and Broadcasting), 1982, via email, the Customer may revoke such consent at any time by notifying the Company, following the instructions included in the promotional message.

5. External Information and User-Generated Content
5.1 The Website may contain links to other websites, whether Israeli or international. The Company assumes no responsibility for the content of those websites or for any information published on them. The presence of a link on the Website does not constitute a recommendation to visit the linked site, and any visit by the customer shall be at their own discretion. For the avoidance of doubt, the Company shall not be liable for any direct or indirect damage, monetary or otherwise, incurred by the customer as a result of reliance on the information appearing in those links.

6. Product Delivery and Shipping

6.1 The customer may choose either in-store pickup from Alison Optica or delivery. It is clarified that the chosen delivery method cannot be changed after the order has been completed.

6.2 If the customer selects delivery, the Company will arrange for the delivery of the purchased products to an address in Israel, as specified in the Shipping and Delivery Policy. It is hereby clarified that delivery will incur a shipping fee, which will be added to the order total as outlined in the Shipping and Delivery Policy. Shipping fees may vary from order to order as detailed in the Shipping and Delivery Policy.

6.3 Please note that orders selected for in-store pickup will only be released upon presentation of the payment method used for the order. Without presenting the original payment method at the time of pickup, the order will not be handed over to the customer.

6.4 The Company undertakes to deliver only products that have been fully paid for by credit card, as specified in Section 3 above.

6.5 Delivery times will be in accordance with the timeframe indicated from the moment the order is confirmed and during business hours, as detailed in the Shipping and Delivery Policy.

6.6 Alison Optica Ltd. shall not be held liable for delays beyond its control and/or caused by the customer, including, but not limited to, delays due to difficulties in contacting the customer for delivery. Such delays shall not be considered a breach of the Company’s obligation to deliver the product.

6.7 Delivery of products purchased on the Website is available only within specific delivery areas as defined by the Company, at its sole discretion. Customers can check whether delivery is available to a specific address by referring to the Shipping and Delivery Policy. Notwithstanding the above, the Company reserves the right to modify the delivery areas from time to time at its sole discretion, without prior notice. Furthermore, the Company may refuse to deliver to an address within the defined delivery areas if the location is considered inaccessible for security or technical reasons, requires special arrangements for delivery, poses a risk to the courier, or for any other reason, all at the Company’s sole discretion.

7. Order Cancellation

7.1 The order cancellation policy is subject to the Israeli Consumer Protection Law, 1981 (the “Consumer Protection Law”), and nothing in this section shall derogate from the provisions thereof.

7.2 Orders for sunglasses may be cancelled within 14 days only from the date of receiving the product or the delivery confirmation (Disclosure Document), whichever is later, in accordance with the terms stated herein. Cancellation of other products, if offered on the Website, will be permitted within 30 days from the actual date of receipt or from the date of order confirmation – whichever is later. The order may only be cancelled if the original tags and labels remain attached to the eyeglass frames and the product has not been used. The Company reserves the right to refuse the return of any goods that show signs of use and/or damage.

7.3 The right to cancel does not apply to goods made specifically for the customer. Therefore, orders for prescription sunglasses and/or eyeglasses created based on a unique prescription for the customer cannot be cancelled.

7.4 Cancelling an order before the product has been shipped to the customer shall be done as follows. The cancellation shall only take effect upon confirmation of receipt of the cancellation notice by the Company, provided the product has not yet been shipped and does not include customized prescription eyewear:

7.4.1 Sending a message through the “Contact Us” form on the Website with all relevant details.

7.4.2 Contacting Customer Service as outlined in Section 1.10 above.

7.4.3 Sending an email to: info@elisonoptic.com.

7.4.4 Sending a registered letter to: 264 Dizengoff St., Tel Aviv.

7.5 Cancelling an order after the product has been delivered to the customer shall be done as follows:

7.5.1 If the cancellation is due to a defect in the delivered product, a mismatch between the product/service and the description provided to the customer, or any other breach by the Company – the customer shall notify the Company as soon as possible via one of the methods listed in Section 7.4, and no later than 14 days from the date of receipt (in the case of non-prescription sunglasses). The customer will be refunded within 14 days of the cancellation request, upon returning the product to the Company. The return can be made to any Alison Optica branch or by coordinating a product pickup from the customer’s home at the Company’s expense (if the product was originally delivered). Upon refund, the customer will receive a cancellation confirmation notice, and no cancellation fees will be charged.

7.5.2 If the cancellation is not due to a defect or mismatch, and there is no delay or breach by the Company – the customer must notify the Company promptly via one of the methods listed in Section 7.4, and no later than 14 days from receipt of the product (for non-prescription sunglasses). A refund will be issued within 14 days after processing the request, subject to return of the product to the Company. The return can be made to any Alison Optica branch or by coordinating a pickup from the customer’s home at the customer’s expense. Upon refund, the customer will receive a cancellation confirmation notice. The Company may, at its discretion, charge a cancellation fee in accordance with the Consumer Protection Law and will notify the customer in advance before any such charge is made. The cancellation fee will be up to 5% of the purchase price or ₪100, whichever is lower.

7.5.3 For remote sales made to a customer who is a person with a disability, a senior citizen, or a new immigrant, the customer may cancel the transaction within four months of receiving the product, provided the transaction included a conversation (including via electronic communication) between Alison Optica Ltd. and the customer. The Company may request documentation verifying the customer’s status as a person with a disability, a senior citizen, or a new immigrant.

7.6 In the event of an order cancellation for any reason, the customer agrees to allow Alison Optica Ltd. and/or its representatives to provide the customer’s name and address to the manufacturer or importer of the product for inspection purposes.

7.7 If, after an order is placed, it is found that the product is out of stock and/or cannot be supplied, the customer will be notified by email (or by phone) that the product has been removed from the order with no charge, and/or a refund will be issued if payment has already been made. The customer shall have no claims against the Company in such a case. Alternatively, the Company may offer a substitute product of equal value. The customer will have the option to accept the alternative or cancel the order for that item and receive a full refund if already charged. No claims or demands may be made against the Company in such circumstances.

7.8 If, after delivery, the customer finds that not all ordered products were received, they must notify the Company via one of the methods listed in Section 7.4 as soon as possible, and no later than 14 business days from the date of delivery. The customer may then choose to: (a) receive a refund for the missing item(s), without the need to return any products and without any cancellation fees (as per Section 7.5), or (b) collect the missing item(s) or a substitute from any Alison Optica branch. The customer shall have no claim against the Company in such circumstances.

7.9 Products offered at promotional prices will be supplied at the promotional price only if the promotion was valid at the time of ordering and the product was in stock.

7.10 Alison Optica Ltd. reserves the right to suspend Website operations and/or the order system at any time.

8. Privacy and Confidentiality

8.1 The customer declares and agrees that providing their personal information in the order form is done voluntarily and with their consent. The completion of the form constitutes consent to the submission of the information.

8.2 The information provided by the customer during registration will be stored in the database of Alison Optica Ltd. (excluding credit card details). It is clarified that the customer is not legally required to provide this information; however, failure to do so may prevent them from using the ordering services on the Website.

8.3 While using the Website, data may be collected regarding the customer's shopping habits, products and services purchased or returned, advertisements they showed interest in, pages or sections viewed, offers and services of interest, payment methods used, and more. Alison Optica Ltd. will store this information in its databases (excluding credit card details). The use of this information, as well as the data provided during the registration process for various Website services, will be made only in accordance with this document or pursuant to the provisions of any applicable law.

8.4 Alison Optica Ltd. will not transfer the customer's personal information or any collected data regarding the customer's activity on the Website (to the extent such information identifies the customer personally) to third parties (excluding shipping providers of the aforementioned sellers), unless they are affiliated companies of Alison Optica Ltd. or entities acting on its behalf, except in the following cases:

8.4.1 If the customer violates the Website’s Terms of Use, or performs (or attempts to perform) actions via or in connection with the Website that appear to be unlawful.

8.4.2 If required by a judicial order instructing Alison Optica Ltd. to provide customer details or information to a third party, even if such party is not a court.

8.4.3 In any dispute, claim, demand, or legal proceedings between the customer and Alison Optica Ltd.

8.4.4 In any case where Alison Optica Ltd. believes that disclosing the information is necessary to prevent serious harm to the customer’s body or property.

8.4.5 Alison Optica Ltd. may share the customer's information with the credit card company, as required to authorize the order transaction.

9. Warranty

9.1 Responsibility for the quality of a product lies with its manufacturer and/or importer in accordance with the Israeli Consumer Protection Law and the various regulations enacted under it. Subject to applicable law, Alison Optica Ltd.’s liability for any product is limited to the purchase price paid by the customer for that product.

9.2 All content appearing on the Website, including commercial offers and/or advertisements by third parties (hereinafter: the “Information”), concerning the products or otherwise, is for general informational purposes only. Such Information does not constitute a guarantee of any outcome and/or a warranty regarding the performance of the products. Alison Optica Ltd. shall not be liable for any direct or indirect damage resulting from reliance on the Information and/or on links to other websites and/or any other internal/external sources of information.

9.3 Alison Optica Ltd. shall not be liable for issues resulting from use of the Website, including but not limited to: malfunctions in the operating system and/or any software on the device used to access the Website; hardware problems; viruses; malware or other malicious software detected or introduced to the device as a result of using the Website; or communication and data transmission problems that may temporarily or permanently prevent access to the Website or affect the quality or speed of its use.

10. Intellectual Property

10.1 All copyrights and intellectual property rights in the Website and all content contained therein are the sole property of Alison Optica Ltd. It is prohibited to copy, distribute, publicly display, publicly perform, transmit to the public, modify, process, create derivative works from, sell, or lease any part of the above—whether directly or indirectly, through a third party, or by any means or method, whether electronic, mechanical, optical, photographic, audio-recording, or otherwise—without obtaining prior written consent from Alison Optica Ltd. or from the relevant rights holders, subject to the terms of such consent (if granted).

11. Governing Law and Jurisdiction

11.1 This Policy shall be governed exclusively by the laws of the State of Israel. Any legal claim, demand, or proceeding relating to this Policy or the Terms of Use shall be brought exclusively before the competent courts in Israel.
